Aux One Information Technology L.L.C L.L.C

Terms & Conditions

Effective date:

Welcome to Aux One Information Technology L.L.C. These Terms and Conditions govern your use of auxone.ae and, where incorporated into your accepted quotation or service agreement, the products and services we supply.

In these terms, “Aux One Information Technology L.L.C,” “we,” “us,” and “our” refer to Aux One Information Technology L.L.C L.L.C, trading as Aux One Information Technology L.L.C. “You” and “client” refer to the person or organisation using our website or purchasing our services.

1. Scope of Our Services

Aux One Information Technology L.L.C provides IT Solutions, ELV Solutions, Software Solutions, and Accounting Solutions.

The specific scope, deliverables, pricing, timelines, warranties, and support arrangements for each engagement will be set out in the relevant quotation, proposal, or service agreement. Any regulated services are subject to applicable licensing and authorisation requirements.

If these website terms conflict with an accepted project-specific agreement, the project-specific agreement will take priority, subject to applicable law.

2. Website Use

You may use this website for lawful purposes, including learning about our services and submitting enquiries.

You must not attempt to gain unauthorised access, introduce malicious software, interfere with website operations, submit misleading information, or copy protected content without permission.

Website information is provided for general guidance. Sending an enquiry does not, by itself, create a service contract.

3. Quotations and Orders

Quotations are valid for the period stated in the quotation. Product availability, specifications, and delivery estimates are subject to confirmation before an order is accepted.

An order becomes binding when the scope and commercial terms have been accepted by both parties in writing. Any required advance payment will be specified in the quotation or agreement.

Changes to an accepted order, including substitutions or additional work, require written agreement on any resulting price or schedule changes.

4. Prices and Payments

The applicable currency, payment schedule, and whether prices include or exclude VAT will be stated in the quotation or invoice. Applicable taxes will be charged as required by law.

Clients must pay invoices according to the agreed payment terms. Any invoice concern should be raised promptly so that it can be investigated.

Where permitted by the agreement and applicable law, overdue undisputed payments may result in suspension of affected services after written notice and a reasonable opportunity to resolve the overdue amount.

5. Client Responsibilities

Clients must provide accurate instructions, relevant records, necessary approvals, and timely access to the premises, systems, and authorised personnel required for the work.

Clients are responsible for ensuring they have permission to supply any data, software, content, or equipment provided to us.

Before maintenance, migration, installation, or repair, clients should maintain suitable backups unless backup preparation is expressly included in our scope. This responsibility does not remove our obligation to exercise reasonable care.

6. Installation and Project Delivery

Delivery and completion dates depend on the agreed scope, equipment availability, site readiness, access, and approvals.

We will communicate material delays and discuss any necessary adjustments. Additional works or changes outside the accepted scope will be quoted or otherwise agreed in writing before proceeding.

Testing, handover, and acceptance requirements will follow the project agreement.

7. Hardware and Warranties

Hardware specifications and warranty coverage will be stated in the quotation, product documentation, or warranty terms supplied with the equipment.

Manufacturer warranties may have exclusions relating to misuse, accidental damage, unauthorised modifications, or unsuitable operating conditions. Installation and workmanship warranties, where provided, will be specified separately.

Nothing in these terms limits any mandatory rights relating to defective goods or services.

8. Software, Auxwall, and Third-Party Services

Auxwall products, custom software, websites, and mobile applications are supplied under the applicable licence, subscription, or development agreement.

That agreement will specify permitted use, subscription periods, renewal arrangements, support, hosting, and any source-code or intellectual-property ownership rights. Commissioning development does not automatically transfer ownership of our existing software or reusable components.

Third-party software, cloud platforms, and integrations are also subject to their providers’ terms. Any recurring third-party charges will be identified in the agreed scope where applicable.

9. Maintenance and Technical Support

Support hours, response targets, onsite visits, remote assistance, and exclusions are governed by the relevant maintenance agreement or support package.

Continuous monitoring, 24-hour support, guaranteed resolution times, and replacement equipment are included only when expressly agreed in writing.

10. Accounting and Advisory Services

Accounting and advisory services depend on complete, accurate, and timely information supplied by the client.

The engagement agreement will identify the work included, relevant deadlines, and responsibility for approvals, submissions, and payments. Clients remain responsible for management decisions and reviewing information submitted on their behalf.

We do not guarantee particular tax outcomes, regulatory approvals, audit findings, or business results.

11. Cancellations and Refunds

Cancellation requests must be submitted in writing.

Any cancellation charges will follow the accepted agreement and applicable law. Where legally permitted, these may include completed work and documented, non-recoverable costs reasonably incurred for the order.

Refund eligibility for equipment, licences, subscriptions, and custom work depends on the applicable agreement and the circumstances of cancellation. These provisions do not exclude mandatory rights to remedies for defective, misdescribed, or undelivered goods or services.

12. Confidentiality and Personal Data

Both parties must protect confidential business information received during an engagement and use it only for the agreed purpose, except where disclosure is authorised or legally required.

We handle personal data in accordance with applicable data protection law. Where we process personal data on a client’s behalf, any necessary processing instructions, security responsibilities, and contractual arrangements will be agreed separately.

Use of our services does not, by itself, constitute consent to unrelated marketing.

13. Intellectual Property

Website text, designs, graphics, branding, and other original materials belong to Aux One Information Technology L.L.C or their respective owners.

You may not reproduce, distribute, or commercially exploit protected materials without permission, except as permitted by law.

Ownership and permitted use of project deliverables will be specified in the relevant agreement.

14. Responsibility and Liability

We will provide our services with reasonable care and skill. Technology systems may still experience interruptions, vulnerabilities, or failures; any specific performance commitments must be set out in the service agreement.

Each party’s liability will be determined by the applicable agreement and law. Nothing in these terms excludes liability or restricts rights that cannot lawfully be excluded or restricted.

15. Events Outside Reasonable Control

Neither party will be responsible for delays caused by events beyond its reasonable control to the extent permitted by law.

The affected party must notify the other party and take reasonable steps to reduce the impact. If disruption continues, the parties will discuss revised delivery arrangements or termination in accordance with the agreement and applicable law.

16. Governing Law and Disputes

These terms are governed by the applicable laws of the United Arab Emirates and the Emirate of Dubai.

Please contact us first with any concern so that we can seek an amicable resolution. Unresolved disputes will be referred to the competent courts, subject to any valid dispute-resolution agreement and mandatory legal requirements.

Nothing in these terms prevents you from contacting a competent regulator or consumer protection authority.

17. Changes to These Terms

We may update these terms by publishing a revised version with a new effective date.

Updates apply prospectively. They do not automatically change an existing accepted order or service agreement; any such changes require agreement or another lawful basis.
